Microsoft's settlement offer in its landmark antitrust case acknowledges that it must change, but falls far short of an acceptable approach, persons close to the case said yesterday.

The offer comes as District Judge Thomas Penfield Jackson is ready to hand down his conclusions of law some time after today, although it is not clear when. The conclusions are widely expected to find that Microsoft violated the nation's antitrust statutes.
